Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you (“you” or “User”) and AI Manuals LLC, a Texas limited liability company (“Overtrace,” “we,” “us,” or “our”), governing your access to and use of the Overtrace website at overtrace.app and the Overtrace telemetry tool (together, the “Service”).

By creating an account, purchasing a license, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What Overtrace is

Overtrace is a web-based tool for viewing and analyzing industrial telemetry datalogs. You load datalog files (such as Emit, Excel, and Caterpillar formats) from one or more modules and overlay them on a shared time axis, with tools to measure, annotate, align, and scale the data.

Your data stays in your browser. All parsing and processing of your datalog files happens locally in your web browser. We do not upload, receive, transmit, or store the contents of your telemetry files on our servers. There is no upload endpoint for your datalog data. You are responsible for keeping your own copies of your files.

2. Accounts

  • You must create an account (via our authentication provider) to purchase or use a license. You must provide accurate information and keep your credentials secure.
  • You are responsible for all activity under your account.
  • You must be at least 18 years old and able to form a binding contract.
  • Notify us promptly of any unauthorized use of your account.

3. Demo access and licenses

3.1 Demo

Anyone may use the full-featured demo on our built-in sample data at no charge. Uploading and working with your own datalogs requires a valid license.

3.2 License types

We offer the following licenses, each tied to your account (not to a specific device), so your license follows your account across your machines:

  • Monthly Subscription — recurring monthly access for as long as the subscription is active.
  • Annual Subscription — recurring yearly access for as long as the subscription is active, billed once per year.
  • Perpetual (one-time) — a one-time purchase that grants ongoing access, including future updates to the Service.
  • Granted licenses — we may grant free licenses (permanent or time-limited) at our discretion, for example to beta users, partners, or promotions.

3.3 License grant

Subject to these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or professional purposes.

3.4 One account per license

Licenses are personal to your account. You may not share, resell, sublicense, or transfer your license or account credentials to others.

4. Payments, renewals, and refunds

4.1 Payment processor

Payments are processed by our third-party payment processor (Stripe). We do not store your full payment card details. Your use of payment features is also subject to the processor's terms.

4.2 Subscriptions

Monthly and annual subscriptions renew automatically each billing period until cancelled. You may cancel at any time through your account; cancellation takes effect at the end of the current billing period. Access continues until then.

4.3 One-time purchases

Perpetual licenses are billed once at purchase.

4.4 Taxes

Prices exclude applicable taxes unless stated; you are responsible for any taxes associated with your purchase.

4.5 Refunds

We offer a 7-day refund on new purchases; contact us at the email below to request one. Subscriptions are non-refundable for periods already elapsed.

5. Acceptable use

You agree not to:

  • reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent this restriction is prohibited by law;
  • copy, resell, sublicense, or redistribute the Service or your license;
  • circumvent or tamper with licensing, authentication, or access controls;
  • use the Service to violate any law or third party's rights;
  • interfere with or disrupt the Service or its infrastructure; or
  • access the Service by any automated means to abuse or overload it.

We may suspend or terminate access for violations.

6. Intellectual property

The Service, including its software, design, text, graphics, and the OVERTRACE name and branding, is owned by AI Manuals LLC and protected by intellectual property laws. Except for the limited license in Section 3, no rights are granted to you. You retain all rights to your own datalog files and data — which, as noted, never leave your browser.

7. Third-party trademarks and compatibility

Emit, Caterpillar, Microsoft Excel, and other product or company names referenced in the Service are trademarks of their respective owners. Overtrace is an independent tool and is not affiliated with, endorsed by, sponsored by, or associated with any of these companies. Such names are used solely to describe file and datalog compatibility.

8. Disclaimers — please read (industrial use)

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

Overtrace is a data visualization and analysis aid. It is not a certified measurement, safety, monitoring, or control system. You are solely responsible for verifying the accuracy of any data, measurements, or conclusions before relying on them.

Do not rely on the Service as the sole basis for any operational, maintenance, safety, or engineering decision affecting equipment, personnel, or the environment. Always confirm results against source data and qualified engineering judgment. We do not warrant that parsing of any particular file format will be complete or error-free, or that the Service will be uninterrupted or available at all times.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI MANUALS LLC AND ITS OWNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, DOWNTIME, OR EQUIPMENT DAMAGE, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (b) US $100.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless AI Manuals LLC and its owners from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.

11. Termination

You may stop using the Service and cancel your account at any time. We may suspend or terminate your access if you breach these Terms or misuse the Service. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification) will survive.

12. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will update the “Last updated” date and, where appropriate, notify you. Continued use after changes take effect constitutes acceptance.

13. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in Comal County, Texas, and you consent to their jurisdiction.
